1. Platform Access
ExplicitAI LLC ("ExplicitAI", "we", "us") provides a community energy management platform including VPP dispatch, peer-to-peer trading, and microgrid management services ("Platform"). By registering assets or accessing the Platform, you agree to these Terms. The Platform is currently in beta — features and availability may change without notice.
2. Asset Enrollment & Dispatch Authorization
By enrolling a distributed energy resource (solar system, battery, EV charger, flexible load), you authorize ExplicitAI to: dispatch that asset within parameters you specify; participate on your behalf in utility VPP programs and PJM capacity markets; receive and distribute payments from those programs according to the agreed fee schedule. You retain ownership of your assets and may withdraw them from the Platform with 30 days' notice.
3. Fees
ExplicitAI charges: (a) a platform subscription fee of $25/month per enrolled home; (b) an 18% management fee on VPP event and capacity market payments distributed to customers; (c) a 10% fee on peer-to-peer energy trade settlements. All fees are deducted before distribution. ExplicitAI reserves the right to modify fees with 60 days' notice.
4. Platform Operation & Limitations
ExplicitAI is a technology platform operator, not a licensed electric utility. We do not guarantee any specific level of VPP event payments, P2P trade revenue, or system uptime. Island mode operation and load shedding are automated features designed for resilience — ExplicitAI is not liable for interruption to non-critical loads during island mode operation as defined in your enrollment agreement.
5. Limitation of Liability
To the maximum extent permitted by applicable law, ExplicitAI shall not be liable for indirect, incidental, or consequential damages arising from use of the Platform. ExplicitAI's total liability for direct damages shall not exceed the total fees paid by you in the 12 months preceding the claim.
6. Governing Law
These Terms are governed by the laws of the Commonwealth of Virginia, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Fairfax County, Virginia, or the US District Court for the Eastern District of Virginia.
